Letter of Financing - A letter of financing is a written statement from a bank or financial institution confirming its general willingness to finance a specific real estate purchase. It serves as proof to the seller that the buyer has the necessary financial resources and is, in practice, an essential prerequisite for the execution of the notarized purchase agreement.

Binding and Non-Binding Financing Confirmation

In practice, we distinguish between non-binding and binding financing confirmation, and this distinction has significant implications for the security of all parties involved. The non-binding version, often referred to as a letter of intent to finance, merely signals that the bank is reviewing the loan application favorably and considers financing to be possible in principle. However, it does not constitute a legally binding commitment and can be withdrawn by the bank at any time, for example if the final credit check is negative or the property valuation falls short of expectations.

The binding financing confirmation, on the other hand, is issued only after a complete review of all documents. In this case, the bank has conclusively assessed the buyer’s creditworthiness, the property’s mortgage lending value, and all other credit-related factors. The bank is thus legally bound by the financing commitment, provided the conditions stated in the letter are met. For sellers, only this option offers genuine assurance that the purchase price will actually be paid.

To issue a financing confirmation, the bank typically requires the following documents from the buyer: proof of income for the last three months, current bank statements, a self-disclosure form with an overview of assets, the draft purchase agreement, and property documents such as a land registry extract, property description, and floor plans. The more complete the documents submitted, the faster the processing.

Duration and Required Documents

The processing time for a financing confirmation varies considerably depending on the bank and the complexity of the financing. A non-binding confirmation can be available within a few business days if all documents are complete. For a binding commitment, however, buyers should allow for a period of one to four weeks, as the bank conducts a comprehensive internal credit review, has the property appraised, and may request additional documentation.

Buyers should therefore initiate the financing process as early as possible, ideally even before a specific property has been found. A so-called preliminary credit check by the buyer’s primary bank significantly shortens the process for the subsequent property-specific confirmation and provides a competitive advantage over other prospective buyers.

  1. Sign the loan agreement: After confirmation, the actual loan agreement must be signed. This contains all binding terms (interest rate, repayment schedule, special repayment rights, fixed-rate period).

  2. Notarized purchase agreement: The purchase agreement is only notarized after the financing confirmation has been submitted. The bank requires the purchase agreement as the basis for establishing the security interest (land charge).

  3. Land charge: The bank receives a land charge on the property being purchased as collateral. This is notarized and entered in the land registry.

  4. Loan disbursement: After the priority notice of conveyance has been entered and the notary’s notice of maturity has been received, the bank disburses the loan.

Important: Between the financing confirmation and the loan disbursement, buyers should not take on any major liabilities (e.g., purchasing a new car on credit), as this can alter their creditworthiness, which entitles the bank to review the approval.
